Terms of Use

1. Scope

These Terms apply when you visit the Capital Benchmark website, access the Research Portal, download research, or use other materials that link to these Terms.

If Capital Benchmark enters into a separate written agreement with you or your institution for a pilot, capability-transfer project, software delivery, dataset licence or other engagement, that agreement will govern to the extent it conflicts with these Terms.

2. Research Portal accounts

Research Portal access is intended for professional users. You must provide accurate registration information, keep account credentials secure and not permit unauthorised users to access your account.

Access may be approved, restricted, suspended or withdrawn where reasonably necessary to protect the service, enforce these Terms, manage research participation or respond to suspected misuse.

3. Research materials

Capital Benchmark may make available research reports, benchmark results, rendered credit memos, analytics, methodology, exhibits, illustrative datasets and other research materials.

Public materials may be shared where we expressly describe them as freely shareable. Authenticated Research Portal content is provided primarily for internal professional evaluation, research and discussion within the user's institution unless otherwise stated.

Raw datasets, source code, prompts, model configurations, test harnesses and other capability-transfer assets are not included in ordinary Research Portal access unless Capital Benchmark expressly makes them available or agrees their transfer separately in writing.

4. Permitted use

Subject to these Terms, you may access and use the Research Portal and research materials for legitimate internal professional purposes, including evaluation, research, benchmarking, discussion, training and consideration of possible participation in Capital Benchmark research or pilot work.

You may quote or reproduce limited extracts of research materials for internal discussion, provided that Capital Benchmark is identified as the source and the context is not misleading.

5. Restrictions

You must not, without our prior written permission:

• sell, sublicense, rent, commercially redistribute or republish substantial portions of authenticated Research Portal content;
• bulk-download, systematically scrape, crawl or harvest portal content except through functionality we expressly provide for that purpose;
• use the service or materials to create or populate a competing commercial benchmark, data product or substantially equivalent service;
• share account credentials or circumvent authentication, access controls, rate limits or security measures;
• probe, scan or test the vulnerability of the service except with our written authorisation;
• attempt to access non-public source code, prompts, datasets, system instructions or other protected materials; or
• use the service in a way that is unlawful, misleading, abusive or likely to interfere with its operation.

Nothing in these Terms restricts rights that cannot lawfully be excluded or limited.

6. AI-generated and benchmark outputs

Some materials in the Research Portal are generated by, or analyse the behaviour of, large language models and other automated systems. Such outputs may contain errors, omissions, inconsistencies or model-specific behaviour.

Benchmark results relate to the particular datasets, prompts, policies, architectures, provider configurations and model versions tested. They do not guarantee future performance or performance in another institution's environment.

Research outputs are illustrative and are not credit decisions, credit ratings, investment recommendations, legal advice, regulatory advice or a substitute for independent professional judgement and institution-specific controls.

7. Intellectual property

Unless otherwise stated, Capital Benchmark and its licensors retain all intellectual-property rights in the website, Research Portal, research materials, benchmark methodology, software, designs and associated content.

Access to the service gives you a limited, non-exclusive, non-transferable right to use the materials in accordance with these Terms. No ownership rights are transferred to you.

Third-party names, trademarks, model names and other third-party materials remain the property of their respective owners.

8. Public, portal and project materials

These Terms do not treat all Capital Benchmark materials as confidential. Public research may be shared in accordance with any permissions stated on the relevant material.

Research Portal materials are intended for registered professional users and internal institutional use unless otherwise stated. Materials supplied under a separate pilot or capability-transfer engagement may be subject to additional confidentiality, licence or use restrictions in the applicable project agreement.

9. Availability and changes

We may update, modify, replace or withdraw parts of the website, Research Portal or research materials as the research programme develops. We do not guarantee that the service will always be available, uninterrupted or error-free.

We may also update these Terms from time to time. The date at the top of this page indicates the latest version.

10. No warranty

The website, Research Portal and research materials are provided for research and professional evaluation purposes. To the fullest extent permitted by law, they are provided without warranties as to completeness, accuracy, fitness for a particular purpose, non-infringement or availability.

11. Limitation of liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.

Subject to the paragraph above, Carbon Benchmark Ltd will not be liable for indirect or consequential loss, loss of profits, loss of business, loss of anticipated savings, loss of opportunity, or loss arising from reliance on research or AI-generated outputs made available through the service.

12. Suspension and termination

You may stop using the service at any time. We may suspend or terminate access where reasonably necessary because of misuse, security concerns, breach of these Terms, expiry of an access arrangement, or changes to the research programme.

Provisions concerning intellectual property, restrictions, disclaimers, liability and governing law continue to apply where relevant after access ends.

13. Privacy and cookies

Our handling of personal information is described in the Privacy Policy. Our use of cookies and similar technologies is described in the Cookie Policy.

14. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales will have jurisdiction over disputes arising from or connected with these Terms, subject to any mandatory rights that apply under applicable law.
